The legal nature of the knowledge process outsourcing contract in the peruvian legal system

Business outsourcing has expanded beyond routine tasks to encompass processes whose value lies primarily in the provider’s specialized knowledge. When a company entrusts a third party with the financial analysis of an investment, complex legal research, or specific technical processes involved in operating a telecommunications network, the outsourced activity becomes largely dependent on the provider’s specialized expertise; this is the domain of Knowledge Process Outsourcing (KPO). This article analyzes the legal nature of this contract within the Peruvian legal system and the elements that define its distinctive contractual features. Through qualitative legal-dogmatic research based on the analysis of legal scholarship, legislation, and specialized literature, it argues that KPO constitutes an atypical business contract characterized by the outsourcing of knowledge-intensive processes, the specialized nature of the services provided, and the provider’s autonomy.
